The Tenant acknowledges and agrees that, in the event that Sheikh Zayed Festival is extended for the 2026/2027 season, this Agreement shall be extended accordingly, subject to payment of the applicable rent for the extension period. The rights and obligations of the Pavilion Organizer and the Tenant stipulated in this Agreement shall remain in full force and effect throughout the extension period.

The Tenant shall comply with the Festival visitor hours, whereby the daily operating hours shall be from 4:00 PM to 11:00 PM, extending until 12:00 midnight on weekends and until 1:00 AM during New Year celebrations.

The Tenant shall be responsible for arranging the transportation of materials, goods, and products to and from the site, including unloading, loading, storage, and all matters related to displaying them at the site, in coordination with the competent authorities.

The Tenant shall ensure that the name of the point of sale is clearly displayed in accordance with the agreed regulations.

The Tenant shall use electricity responsibly and avoid excessive consumption, and shall ensure that all electrical points and water taps are switched off at the end of each Festival day, except for electricity required to operate refrigerators and cooling equipment.

The Tenant shall not tamper with the provided electrical points, increase or decrease the electrical voltage, or add any electrical points, lamps, lighting fixtures, or electrical or water connections. If assistance is required, the Festival Management shall be notified so that qualified technicians can be provided.

The Tenant shall maintain general cleanliness at the point of sale throughout the day in a manner that reflects an appropriate and presentable appearance.

The Tenant shall not dispose of garbage or waste except in the designated areas announced by the Festival Management, and shall not remove or dispose of waste in front of visitors and the public during operating hours. Waste shall be disposed of during non-peak hours or after the daily closing. If disposal is necessary during operating hours, the Tenant shall contact Tadweer to facilitate the process.

The Tenant shall maintain the general appearance in a manner that reflects the heritage of the country represented by the pavilion or restaurant and supports the objectives of the Festival.

The Tenant shall comply with modest and appropriate dress requirements in accordance with the rules and regulations applicable at the Festival.

Access cards shall be displayed in a prominent and clearly visible location for visitors and the competent authorities. The Festival Management shall be immediately notified in the event of any lost access card.

Two identification/access cards shall be issued free of charge for each shop for entry to the Festival. An amount of AED 150 (one hundred and fifty UAE dirhams) shall be payable for any additional card or replacement card. The Organizer shall not impose any additional fees on Tenants or partners for obtaining Sheikh Zayed Festival access cards.

The operation of any musical instruments, audio devices, music, or songs inside shops or restaurants is prohibited without prior approval.

The Tenant shall not place or bring any materials or items into the points of sale that have not been previously approved by the Festival Management. Any movement or transportation of such items shall be carried out before the Festival operating hours only.

The placement, hanging, affixing, or display of personal photographs by any means is strictly prohibited.

The Tenant shall vacate the site and remove all products, displays, and belongings on the first day following the end of the Festival. If the Tenant fails to vacate the site within five days from the end of the Festival, the Festival Management shall have the right to dispose of, destroy, or confiscate the remaining items.

Smoking is strictly prohibited except in designated areas. Failure to comply shall result in financial penalties.

Festival stages shall not be used for resting, sitting, or gatherings. The site shall not be used for sleeping.

The Tenant shall comply with the designated display area outside the shop, which shall be limited to one meter only, and shall not obstruct pedestrian movement. Failure to comply shall result in an immediate fine.

In the event that the Participant causes any damage to Festival property, the Participant shall bear full responsibility, and the cost of repairing the damage shall be deducted from the security deposit.

The display of goods on the external walls or doors of points of sale is strictly prohibited. Failure to comply shall result in a financial penalty.

The Seller shall issue a tax invoice to each customer, clearly stating the terms and conditions of sale.

The Tenant shall provide electronic payment devices from Magnati at the site. Failure to provide such devices shall result in penalties.

The commercial shop may not be relocated from its designated and approved location to another location without the prior written approval of the Festival Management.

If the Tenant installs locks on the shop, a copy of the shop keys shall be provided to the Management or the Pavilion Supervisor.

By participating in the Festival, Participants acknowledge that they may be photographed, and the Festival Management shall have the right to use such photographs. Anyone who does not wish to be photographed shall notify the photographer.

All sales promotional activities require prior approval from both the Pavilion Management and the Festival Management.

The Agreement shall be terminated if the shop is rented out at a price higher than the agreed rental amount or if it is subleased.

If the point of sale is not operational from the commencement of the Festival or in the event of repeated violations, the Festival Management shall have the right to confiscate and repossess the point of sale.

Restaurant and shop operators shall comply with the general appearance and condition of the facilities handed over to them and shall not alter any element of the décor without obtaining prior written approval from the Festival Management.

The sale of popcorn, cotton candy, or spiral potatoes is strictly prohibited without the approval of the Festival Management.

The Tenant shall comply with the regulations and laws of the Department of Economic Development relating to consumer rights.

The Exhibitor (Participant) shall pay the full rental amount before the end of the Festival period.

Participants shall maintain the necessary insurance coverage to ensure the smooth operation of their activities throughout the Festival, including all-risk insurance, third-party liability insurance, site insurance, and workers’ compensation insurance.

The Tenant shall vacate the shop, remove all its contents, and leave it clean and orderly upon expiry of the Agreement.

The Tenant may not close the shop or suspend its business activities during the term of the Agreement without obtaining prior written approval from the Pavilion Organizer.

The Exhibitor and all of its employees shall maintain the confidentiality of all information contained in or arising from this Agreement, including financial information and information relating to the entity organizing the Festival. No information may be disclosed without prior written approval. This confidentiality obligation shall remain in effect after the expiry or termination of the Agreement for any reason.

Any dispute between the Organizer and the Exhibitor shall first be resolved amicably. If an amicable settlement cannot be reached, the dispute shall be referred to the Abu Dhabi Courts for resolution.

The Schedule of Fines attached to this Agreement shall constitute an integral and essential part thereof.

The Festival Management shall not be held liable for any force majeure circumstances, events beyond its control, or acts of God.
